VOLUNTARY NENS ANNOUNCEMENT: RELATED PARTY TRANSACTION – INDIRECT ACQUISITION OF SHARES
In compliance with Section 10 of the Namibia Securities Exchange (NSX) Listing Requirements, Oryx Properties
Limited (Oryx Properties) hereby advises unitholders of the following related party transaction concluded on 18
December 2025:
1. Related parties to the Transaction
• Mr. Ben Jooste – Chief Executive Officer and Executive Director
• Mrs. Francis Heunis – Chief Financial Officer and Executive Director
2. Nature of the Transaction
Mr. Ben Jooste and Mrs. Francis Heunis have acquired a combined 11.12% interest in TLP Investments One Three
Seven (Pty) Ltd (“TLP”), a company which holds a direct shareholding in Oryx Properties.
This transaction results in an indirect increase in their beneficial shareholding in Oryx Properties.
3. Impact on Shareholding in Oryx Properties

4. Size of the Transaction
The transaction represents less than 5% of Oryx’s market capitalisation, qualifying as a small related-party
transaction under NSX Listing Requirements.
5. Governance
• The Board of Directors was advised of the transaction on 25 November 2024 and received a further
update as the transaction approached conclusion on 24 November 2025.
• The Sponsor and NSX were consulted throughout the transaction.
• In terms of Section 10.6 of the NSX Listings Requirements, unitholder approval is not required for this
transaction.
