Application of an individual

For financial transactions such as buying shares, Namibian legislation requires that your personal details be verified as prescribed.  You will thus need the following documents to attach to your application:

  • original certified copy of your ID - front and back of ID - certified by Commissioner of Oaths AND
  • one of the following confirming your bank account where your dividends must be paid:
    • original letter from your bank on a bank letterhead confirming that you hold the account (account name, branch number, account number and type of account) OR
    • original bank statement clearly showing the bank name and branch code. No screen prints can be accepted. AND
  • proof of country of residency (any proof of residency for example, a copy of tax certificate, municipal account, other account reflecting the residential address, or other proof of residency)

NOTE: Electronic payments of dividends and refund of any overpayments:   

Electronic payments can be done to a cheque or savings account at a bank in Namibia or South Africa.

It cannot be done to:

  • a third party,
  • a credit card,
  • a fixed investment, or
  • post office or building society account.

Dividend payments will be credited to your account on the day of payment, with a clear description e.g. “yyy DIV 05” for YYY dividend number 5.

How to apply for shares on behalf of yourself or your client using a Nominee Company as custodian

For financial transactions such as buying shares, Namibian legislation requires that the beneficial owner details be verified as prescribed.  If the applicable beneficial owner is already FIA verified at our transfer secretaries maintaining our shareholder register, no documents for Know your Client purposes will be required.  If the applicable beneficial holder is not yet FIA verified at our transfer secretaries, the following documents must be attached to the application:

  • original certified copy of the applicable registration document of the beneficial holder (e.g. company registration, pension fund registration letter from Namfisa, unit trust fund registration) AND
  • proof of country of residency or country of registration (any proof of residency for example, a copy of tax certificate, registration document, municipal account, or other proof of residency)

How to apply for shares on behalf of a legal entity such as a company, CC, registered Trust, etc.

For financial transactions such as buying shares, Namibian legislation requires that the beneficial owner details be obtained and verified.  The following documents will be required for this Know your Client purpose, for the payment of future dividend and for the calculation of applicable withholding tax on dividends. 

  • Original certified copy, certified by a Commissioner of Oaths of
  • Company: CM1 Certificate of Incorporation, CM22 Certificate of Registered Address and CM29 form, all bearing the stamp of the Registrar of Companies and signed by the Company Secretary;
  • Close Corporation / CC: CC1 Founding Statement bearing the stamp of the Registrar and signed by an authorised member
  • Trust: Trust Certificate issued by Master of the High Court bearing the stamp of the High Court
  • Other legal entities: Registration document and Constitution or other founding documentation and written confirmation of the residential address of persons authorised to act on behalf of the legal entity;

 

  • original certified copy of a board minute/resolution detailing persons authorised to act on behalf of the company / close corporation / trust / legal entity for share dealing and other purposes.
  • On an applicable letterhead, a list of authorised persons with each one’s specimen signature and contact particulars
  • Original certified copies of the identity documents of the authorised signatories and CEO or principal officer

 

  • confirmation of bank information (no third party bank information may be accepted)
  • original letter from the bank on a bank letterhead confirming the account name, branch number, account number and type of account OR
  • original bank statement clearly showing the bank name and branch code. No screen prints can be accepted. AND
  • proof of country of residency (any proof of residency for example, municipal account, other account reflecting the residential address, or other proof of residency)
